Welcome to Vizuani. These Terms and Conditions (“Terms”) govern your access to and use of the Vizuani website, services, quotations, project agreements, and deliverables. Vizuani (“Vizuani,” “we,” “our,” or “us”) is a 3D apparel visualization and digital fashion service provider based in Dhaka, Bangladesh.

By requesting, ordering, purchasing, approving, or using our Services, you (“Client,” “you,” or “your”) agree to these Terms. Please read them carefully before placing an order or engaging Vizuani for a project.

1. About These Terms

These Terms apply to services provided by Vizuani, including but not limited to:

  • 3D apparel visualization
  • Virtual garment sampling
  • 3D garment development
  • CLO3D-related services
  • Fabric digitalization
  • Avatar fitting and virtual fitting
  • 3D fashion animation
  • Fashion accessory visualization
  • Product visualization
  • AR/VR-ready fashion assets
  • Clothing branding and presentation
  • Garment mockups
  • Tech pack and technical apparel services
  • Pattern-related services
  • Other digital fashion and visualization services agreed between Vizuani and the Client

Specific project requirements, prices, timelines, revisions, file formats, and deliverables may be described in a quotation, proposal, invoice, email, project brief, platform contract, or other written agreement (collectively referred to as the “Order”). When an Order is accepted by both parties, the Order and these Terms together form the agreement between Vizuani and the Client.

2. Eligibility and Authority

By engaging Vizuani, you confirm that you are legally capable of entering into a binding agreement. If you are acting on behalf of a company, brand, agency, manufacturer, organization, or other entity, you confirm that you have authority to enter into the agreement on its behalf. You are responsible for ensuring that the information you provide to Vizuani is accurate and complete.

3. Quotations and Orders

Vizuani may provide quotations based on information supplied by the Client, specifying project scope, deliverables, file formats, timelines, pricing, and payment milestones. If project requirements change after the quotation has been issued or accepted, Vizuani may revise the price, timeline, or scope. A project is considered confirmed when the Client accepts the quotation or proposal and completes any required initial payment or deposit.

4. Project Scope

Vizuani will perform the Services described in the accepted Order. Anything not specifically included in the Order may be treated as additional work, including:

  • Additional garment variations or colorways
  • New designs, patterns, or avatars
  • Additional camera views, animations, or renderings
  • Major garment construction changes
  • New fabric development or source-file preparation
  • Reworking approved concepts or changes requested after final approval

5. Client Responsibilities

The quality and accuracy of Vizuani's work depend significantly on the information and materials supplied by the Client (such as tech packs, patterns, sketches, fabric swatches, measurements, and logos). The Client is also responsible for providing timely feedback and approvals. Vizuani will not be responsible for delays or inaccuracies caused by incomplete, inaccurate, inconsistent, or late information supplied by the Client.

6. Client-Supplied Materials and Intellectual Property

The Client retains ownership of materials it provides to Vizuani (logos, designs, patterns, etc.) and grants Vizuani permission to use those materials solely as necessary to perform the requested Services. The Client confirms it has the legal right to provide all supplied materials. Vizuani is not responsible for intellectual-property infringement resulting from materials supplied or specifically requested by the Client.

7. Pricing and Payment

Payments may be structured as advance deposits, milestones, hourly, or fixed pricing as stated in the Order. Vizuani may withhold final high-resolution deliverables, source files, or editable assets until all amounts due have been paid. The Client is responsible for applicable transaction/bank fees and taxes unless otherwise stated.

8. Project Timeline and Delivery

Estimated delivery dates may change due to delayed feedback, missing materials, scope changes, additional revisions, or events outside Vizuani's reasonable control. Vizuani will make reasonable efforts to meet agreed deadlines but cannot guarantee timelines affected by circumstances outside our control.

9. Revisions

Revisions include reasonable modifications (such as small fitting adjustments, color corrections, or minor seam tweaks) to work already created according to the original brief. Requests that materially change the original brief or requests beyond the agreed revision rounds may be treated as scope changes incurring additional fees and timeline adjustments.

10. Client Approval

Vizuani may request stage-by-stage approvals (garment shape, pattern, fit, texture, color, animation). Once approved, substantial changes may require extra fees. Commercial use, publication, or manufacturing use of a final deliverable serves as evidence that the Client has accepted that deliverable.

11. Ownership of Vizuani Intellectual Property

Vizuani retains all rights in its pre-existing and reusable intellectual property, workflows, templates, generic assets, rendering setups, scripts, and internal tools (“Vizuani Materials”). These assets are not transferred to the Client simply because they were used to complete a project.

12. Rights to Final Deliverables

Upon full payment, the Client receives a perpetual, worldwide, royalty-free commercial license to use final deliverables created specifically for them across websites, e-commerce, advertising, presentations, and marketing. Unless agreed in writing, the Client may not resell underlying reusable assets or Vizuani templates as standalone digital items.

13. Source Files and Working Files

Source/working files (such as ZPRJ, OBJ, FBX, PSD, AI, or project libraries) are included only when explicitly stated in the Order. If not included in the original scope, Vizuani may charge an additional fee to supply them.

14. Third-Party Assets and Software

Projects may involve third-party software, fonts, textures, plugins, or stock assets subject to individual third-party licenses, which the Client agrees to comply with.

15. Accuracy of 3D Apparel Visualizations

3D apparel visualization is a digital simulation. Manufactured physical garments may vary due to fabric composition, stretch, shrinkage, washing, manufacturing tolerances, and factory conditions. A 3D visualization is not a substitute for physical prototyping and testing required for safety, regulatory, or quality compliance.

16. Technical and Production Services

The Client and its manufacturer remain solely responsible for reviewing technical patterns, tech packs, and measurements, and confirming production suitability before bulk manufacturing. Vizuani does not provide factory certification, laboratory testing, or physical production quality assurance unless explicitly stated.

17. Confidentiality

Vizuani takes reasonable steps to protect confidential client information and unreleased apparel collections. Where a separate Non-Disclosure Agreement (NDA) is signed, the terms of that NDA will govern confidential information.

18. Portfolio and Promotional Use

Unless otherwise agreed, Vizuani may display completed final deliverables in its public portfolio or promotional materials after the project or product has been publicly released by the Client. Clients may request privacy restrictions in writing prior to project kickoff.

19. Cancellations and Refunds

Project cancellations and refunds are governed by the Order, Vizuani's Refund Policy (vizuani.com/refund), and applicable law. Custom professional work, completed milestones, and non-recoverable expenses may affect refund eligibility.

20. Suspension or Termination of Services

Vizuani may pause or terminate projects for overdue payments, prolonged lack of communication, material contract breaches, or unlawful requests. Termination does not relieve payment obligations for services already performed.

21. Warranties and Disclaimers

Vizuani uses reasonable professional skill and care but does not guarantee specific commercial sales results, product profitability, or exact physical replication of digital fabric. The Client is responsible for determining whether deliverables fit their commercial goals.

22. Limitation of Liability

To the maximum extent permitted by law, Vizuani will not be liable for indirect, incidental, or consequential losses (such as lost profits or manufacturing delays). Vizuani's total liability for any Order will not exceed the total amount actually paid by the Client for that specific Order.

23. Indemnification

The Client agrees to hold harmless and indemnify Vizuani against claims resulting from infringing Client-supplied materials, unlawful instructions, or unauthorized use of deliverables outside granted rights.

24. Data Protection and Privacy

Personal information is processed in accordance with Vizuani's Privacy Policy available at vizuani.com/policy.

25. Force Majeure

Neither party is responsible for delays or failures caused by events beyond reasonable control, including natural disasters, infrastructure failures, widespread internet or cloud outages, and government restrictions.

26. Communications

Project communications may occur via email, forms, WhatsApp, or freelance/collaboration platforms. Written instructions through agreed channels may be relied upon for project execution.

27. Changes to These Terms

Vizuani may update these Terms periodically, with updates published on this page with a revised "Last Updated" date. Existing confirmed Orders remain governed by terms accepted at their confirmation unless otherwise agreed.

28. Governing Law and Dispute Resolution

These Terms are governed by the laws of Bangladesh. Disputes should first be negotiated in good faith; if unresolved, they are subject to the courts of competent jurisdiction in Dhaka, Bangladesh.

29–33. General Provisions

Vizuani operates as an independent contractor. Clients may not transfer agreements without consent. Invalid provisions will be severed without affecting remaining terms, and failure to enforce a right does not waive future enforcement. These Terms plus the accepted Order constitute the entire agreement between the parties.
